Finance & Banking Transactions

Andy McNish and Laura Wright have overseen over a hundred matters involving security given by companies when banks have required their own independent third party solicitors, as the transactions involve complex areas of company law (especially provisions relating to financial assistance and share buy-back). They are also regularly instructed by banks in the drafting and negotiation of deeds of priority and/or release, the review of memoranda and articles of association, share sale agreements, deeds of appointment and collateral warranties in property development matters. Claire Reddington also supports the team.

Richard Hamilton of our property department has acted for banks in preparing over 60 reports on title in the past 12 months (both freehold and leasehold titles) and effecting the required registrations. He also obtains foreign legal opinions for banks when required.

Grahame Jones and Joanne Carroll head up our traded endowment policy unit (TEPS) which has  members and acts mainly for offshore banks and others involved in lending funds to those acquiring or trading endowment policy portfolios, including certification of title and dealing with appropriate registrations. They currently certify title for approximately half the policies traded in the TEPS market in the UK and have successfully dealt with over 60,000 policies in the last few years.

Andrew Ryan heads the commercial litigation department, and has spent many years acting for a large number of banks, involving many millions, including a recent settlement on a particular matter for £30 million. The department deals with claims ranging from breach of trust, former advisors, fraudulent bank employees, guarantee claims etc
